Tracking side letter obligations across the investor base

We identify where AI removes cost and where it quietly adds risk.

Every engagement begins with a scoping conversation. If a smaller package is the right starting point, we will say so.

Overview

Side letters are where fundraising flexibility becomes operational obligation. A large fund may carry over a hundred of them, each containing bespoke reporting requirements, fee arrangements, excusal rights, transfer provisions, notification commitments and most favoured nation elections.

These obligations are negotiated by the legal and fundraising teams and then have to be honoured, for a decade or more, by operations, finance, investor relations and compliance teams who may not have been present when they were agreed. In many firms the practical record of what has been promised is a folder of PDFs and a spreadsheet of varying reliability.

The Strategy

AI reads the full side letter population and extracts every operative obligation into structured form: what is owed, to whom, on what trigger, by when, and by which internal function. Each obligation is linked back to the specific clause, and the extraction is reviewed by legal before it becomes the operating record.

Obligations are then monitored against actual activity. Reporting commitments are checked against what was sent, notification obligations are triggered by the events that require them, and fee arrangements are checked against what was charged. Most favoured nation analysis becomes a query rather than a project, because the terms granted across the investor base are held in comparable structured form. Any obligation approaching a deadline or missed is escalated.

Results Driven

The firm knows what it has promised and can evidence that it has delivered. That is a simple statement but an uncommon capability, and it removes a category of risk that tends to surface during a fundraise, an audit or an investor dispute, all of which are poor moments to discover a gap.

Most favoured nation rounds, which typically consume weeks of legal and operations time, compress substantially. The next fundraise also benefits, because the partnership can see the full pattern of terms granted historically before deciding what to concede.
